The terms governing use of the Ryason Tech website and the services we provide. Last updated: October 16, 2026.
These Terms & Conditions ('Terms') govern your access to the Ryason Tech website and your use of services provided by Ryason Tech LLC ('Ryason Tech', 'we', 'us'). By using the website or engaging us, you agree to these Terms. If you engage us under a separate signed agreement or statement of work ('SOW'), that document controls where it conflicts with these Terms.
'Client' means the business or person engaging us. 'Deliverables' means the websites, automations, agents or other outputs we build. 'Services' means our web development and AI automation services. 'Care Plan' means the optional monthly support, maintenance and optimization subscription described in your quote.
We provide web development and AI automation services, which may include: website design and development; AI agents; AI chatbots; AI receptionists; CRM and system integrations; business process automation; and custom AI solutions. The specific scope, deliverables, milestones and acceptance criteria for each engagement are defined in your written quote or SOW.
Website prices are proposed starting points, not offers. Every engagement begins with scoping, and your quote or SOW lists what is included, what is excluded, and the success measures. Unless stated otherwise, quotes are valid for 30 days. Anything not listed in the SOW is out of scope.
Implementation fees are invoiced according to the milestones in your quote; Care Plans are billed monthly in advance. All amounts are stated in US dollars and are exclusive of taxes and third-party costs unless noted. Invoices are due as stated in the quote. Overdue amounts may pause active work after written notice. You are responsible for charges you authorize and for reviewing invoices promptly.
You agree to: provide timely access to systems, accounts and content we need; nominate a decision-maker for approvals; respond to requests for feedback within agreed windows; and ensure you have the rights to any content, data or credentials you share with us. Delays in feedback or access may shift timelines, and we are not responsible for delays caused by factors outside our control.
Requests that go beyond the agreed SOW are handled through a written change order that describes the additional work and any impact on fees or timelines. We may pause related work until a change order is approved.
Projects may depend on third-party platforms (for example hosting, telephony, CRM, SMS, analytics or AI model providers). Those services are governed by their own terms and fees and are separate from our Services. Third-party costs are excluded from our quotes unless expressly stated, and service availability from third parties is outside our control.
Automation outputs - including AI-generated responses, summaries and recommendations - can be incomplete or inaccurate. Our designs include human-review and escalation paths, but you are responsible for business decisions made using these systems. Our Services do not constitute legal, financial, medical or other professional advice. You agree not to use automation for unlawful, deceptive or harmful purposes, and to avoid submitting sensitive personal data to AI features unless the SOW provides for it.
Upon full payment, you own the Deliverables created specifically for you, excluding: pre-existing tools, frameworks, generic components and know-how that remain ours or our licensors'; and third-party materials under their licenses. You grant us a limited license to use your materials solely to deliver the Services. Unless you ask us not to in writing, we may reference that we worked with you (for example, a name and logo in a client list).
Each party will protect the other's non-public information with reasonable care and use it only to perform the engagement. This obligation survives termination.
We provide Services with reasonable skill and care and will correct material defects in Deliverables reported within 30 days after launch at no additional cost. Except as expressly stated, the Services and Deliverables are provided 'as is' without other warranties, express or implied, including fitness for a particular purpose, to the maximum extent permitted by law. We do not warrant uninterrupted or error-free operation of third-party platforms.
To the maximum extent permitted by law, Ryason Tech's total aggregate liability arising from or related to the Services is limited to the amounts you paid us for the affected Service in the three months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Nothing in these Terms limits liability that cannot be limited by law.
You agree to indemnify and hold harmless Ryason Tech from claims arising out of: content, data or materials you provide; your use of the Deliverables in violation of law; or your breach of these Terms. We agree to indemnify you from third-party claims that our original Deliverables infringe intellectual property rights, provided you notify us promptly and allow us to control the defense.
These Terms apply while you use the website or engage us. Either party may terminate a Care Plan with 30 days' written notice. Either party may terminate a project engagement for material breach that remains uncured 14 days after written notice. We may suspend Services for overdue undisputed invoices after written notice. Amounts for work completed through the termination date remain payable. Sections that by their nature should survive termination (for example IP, confidentiality, liability, governing law) survive.
Cancellations and refunds are governed by our Refund & Cancellation Policy, which forms part of these Terms.
These Terms are governed by the laws of the United States and the state in which Ryason Tech LLC is registered, without regard to conflict-of-law rules. Before filing any formal action, both parties agree to attempt to resolve disputes informally by written notice and good-faith discussion for at least 30 days. To the extent permitted, claims will be brought in the courts located in that state, and each party waives any objection to venue there. Nothing here prevents either party from seeking relief in small claims court.
Notices under these Terms may be given by email. You consent to receive communications electronically. Neither party is liable for delays caused by events beyond its reasonable control (force majeure). You may not assign these Terms without our written consent; we may assign them in connection with a merger or sale of assets. If any provision is unenforceable, the remainder stays in effect. A waiver of any breach is not a waiver of later breaches. These Terms and the applicable SOW constitute the entire agreement on their subject. Questions: info@ryasontech.com.
They govern your use of the Ryason Tech website and services — covering accounts, intellectual property, payments, disclaimers, liability, and the rules for working with us.
Unless otherwise agreed in writing, project deliverables are assigned to the client upon full payment, while Ryason Tech retains ownership of its pre-existing tools, frameworks, and know-how.
To the maximum extent permitted by law, our aggregate liability is capped as described in the sections above, and we are not liable for indirect or consequential damages.
We may update the Terms and will post changes here with a new effective date; either party may terminate services as described in the engagement terms and this page.
These terms are governed by the laws described in this document, and any disputes follow the resolution process set out above.
